1. Agreement to Terms

These Terms of Service govern your access to and use of the NoQuestionsAI website, application, software, content, and related services, collectively the "Service." The Service is operated by NoQuestionsAI.com, referred to in these Terms as "NoQuestionsAI," "we," "us," or "our."

If you use the Service on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms. If you do not agree to these Terms, do not access or use the Service.

2. Description of the Service

NoQuestionsAI provides AI-assisted software intended to help food industry professionals organize information, draft GRAS notification materials, review dossier sections, and surface potentially relevant regulatory references. The Service may include guided interviews, AI-generated text, source retrieval, document editing, dossier assembly, and export features.

The Service is a workflow and drafting tool. It does not guarantee that any submission will be accepted by the U.S. Food and Drug Administration or any other authority, and it does not guarantee receipt of an FDA "no questions" letter.

3. No Legal, Regulatory, Scientific, or Professional Advice

The Service and any outputs generated by the Service are provided for informational, drafting, and workflow support purposes only. The Service does not provide legal advice, regulatory advice, scientific opinions, safety determinations, or professional consulting services.

You are solely responsible for reviewing, validating, editing, and approving all materials before relying on them or submitting them to any agency, customer, reviewer, or third party. You should consult qualified regulatory, legal, toxicology, food safety, and scientific professionals as appropriate.

4. Accounts and Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. You agree to provide accurate account information, keep your login credentials secure, and promptly notify us of any unauthorized access to your account.

You are responsible for all activity under your account, including activity by users you invite or authorize.

5. Customer Content

"Customer Content" means information, documents, prompts, messages, source materials, ingredient details, study summaries, business information, and other materials you submit to or generate through the Service.

You retain ownership of your Customer Content. You grant NoQuestionsAI a limited, non-exclusive, worldwide license to host, process, transmit, display, reproduce, and use Customer Content as necessary to provide, maintain, secure, and improve the Service, comply with law, and enforce these Terms.

You represent that you have all rights, permissions, and lawful bases necessary to submit Customer Content to the Service and to permit us and our service providers to process it as described in these Terms and our Privacy Policy.

6. AI Outputs and Source Materials

AI-generated outputs may be incomplete, inaccurate, outdated, misleading, or unsuitable for your particular use. Source retrieval features may not identify every relevant authority, precedent, study, regulation, or risk.

You are responsible for independently verifying citations, factual statements, regulatory references, scientific claims, exposure calculations, safety interpretations, and all other output. Do not rely on the Service as the sole basis for a GRAS conclusion, safety determination, regulatory filing, investment decision, or commercial launch.

7. Acceptable Use

You agree not to:

• Use the Service in violation of any law or regulation.
• Submit content that infringes, misappropriates, or violates another person's rights.
• Reverse engineer, scrape, overload, disrupt, or attempt to gain unauthorized access to the Service or related systems.
• Use the Service to create or distribute unlawful, deceptive, harmful, or fraudulent materials.
• Upload malware, malicious code, or content designed to interfere with the operation of the Service.
• Misrepresent AI-generated materials as independently verified professional advice or final regulatory conclusions.

8. Confidentiality and Sensitive Information

You should use care when submitting confidential, proprietary, trade secret, personal, or regulated information to the Service. We will use commercially reasonable safeguards designed to protect Customer Content, but no online service can guarantee absolute security.

Unless we separately agree in writing, the Service is not designed for protected health information, classified information, export controlled technical data, or other information requiring specialized regulatory handling.

9. Fees, Billing, and Subscriptions

Paid features may require payment of fees. If you purchase a subscription or paid plan, you authorize us and our payment processors to charge the payment method you provide for applicable fees, taxes, renewals, and other charges.

Unless stated otherwise at checkout or required by law, fees are non-refundable and subscriptions renew automatically until canceled. You are responsible for canceling before renewal if you do not want to continue a paid plan.

10. Third-Party Services

The Service may rely on third-party providers for hosting, authentication, payments, analytics, AI processing, database services, email, and other functions. Your use of those features may be subject to third-party terms and privacy practices. We are not responsible for third-party services that we do not control.

11. Intellectual Property

NoQuestionsAI and its licensors own all rights, title, and interest in and to the Service, including software, designs, interfaces, workflows, templates, documentation, trademarks, and other materials, excluding Customer Content. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service in accordance with these Terms.

If you provide feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use that feedback without restriction or compensation.

12. Suspension and Termination

We may suspend or terminate your access to the Service if we believe you violated these Terms, created risk for the Service or other users, failed to pay fees, or used the Service in a way that may create legal, security, or operational harm.

You may stop using the Service at any time. Sections that by their nature should survive termination will survive, including sections relating to Customer Content licenses, fees, intellectual property, disclaimers, limitations of liability, indemnification, and dispute terms.

13. Disclaimers

To the fullest extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise. We disclaim all warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and reliability.

We do not warrant that the Service will be uninterrupted, secure, error-free, or that outputs will be accurate, complete, suitable, or compliant with any legal or regulatory requirement.

14. Limitation of Liability

To the fullest extent permitted by law, NoQuestionsAI will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, regulatory delay, submission rejection, or reputational harm.

To the fullest extent permitted by law, our total liability for all claims relating to the Service will not exceed the greater of one hundred U.S. dollars or the amounts you paid to NoQuestionsAI for the Service in the three months before the event giving rise to the claim.

15. Indemnification

You agree to defend, indemnify, and hold harmless NoQuestionsAI and its officers, directors, employees, contractors, service providers, and agents from and against claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising from your Customer Content, your use of the Service, your violation of these Terms, or your violation of law or third-party rights.

16. Changes to the Service or Terms

We may modify the Service or these Terms from time to time. If we make material changes, we will take reasonable steps to notify you, such as posting updated Terms or providing notice through the Service. Your continued use of the Service after changes become effective means you accept the updated Terms.

17. Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to conflict of law principles, unless another jurisdiction's law is required to apply. You and NoQuestionsAI agree to first attempt to resolve disputes informally by contacting each other before initiating formal proceedings.
